Required Before Participation

PARTICIPANT LIABILITY WAIVER & RELEASE

This Waiver, Release of All Claims, Assumption of Risk, and Indemnification Agreement must be completed and submitted by every registered player before participating in any Global Elite Basketball league game, practice, scrimmage, or event. Read each section carefully and in full before acknowledging and signing.

Effective: Fall 2026 Season — All Future Seasons Until Revoked

This Liability Waiver, Release of All Claims, Assumption of Risk, and Indemnification Agreement ("Agreement") is entered into between the undersigned participant ("Player" or "Participant") and Global Elite Basketball LLC, including its owners, members, managers, officers, directors, employees, contractors, volunteers, referees, coaches, facility partners, sponsors, and all affiliated organizations and individuals (collectively referred to as "GEB" or "the Organization").

In consideration of being permitted to register for, participate in, or attend any GEB league game, practice, scrimmage, tryout, open run, event, or related activity (collectively "GEB Activities"), and in consideration of other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Player agrees to the following terms in their entirety. THIS IS A LEGALLY BINDING AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS IN FULL, DO NOT PARTICIPATE.

1

Voluntary Assumption of All Risks

The Player acknowledges, understands, and expressly agrees that participation in basketball and related athletic activities involves inherent, unavoidable, and serious risks of bodily injury, permanent disability, paralysis, and death. These risks exist regardless of the precautions taken by GEB and include, but are not limited to: sprains, strains, muscle tears, fractures, dislocations, concussions and traumatic brain injuries, torn ligaments and tendons (including ACL, MCL, and Achilles), spinal cord injuries, eye injuries, dental injuries, cardiovascular events (including heart attack and cardiac arrest), heat exhaustion and heat stroke, dehydration, contact injuries caused by other participants, collisions with walls, equipment, or court fixtures, and injuries resulting from defective or improperly maintained equipment or facilities. The Player further acknowledges that these risks may be caused or contributed to by the negligence of GEB, its staff, referees, other participants, or third parties. THE PLAYER VOLUNTARILY AND KNOWINGLY ASSUMES ALL SUCH RISKS — KNOWN AND UNKNOWN, FORESEEN AND UNFORESEEN — ASSOCIATED WITH PARTICIPATION IN GEB ACTIVITIES. The Player represents and warrants that they are in adequate physical condition to participate in competitive basketball, that they have no known medical conditions that would make participation dangerous, and that they have not been advised by any licensed medical professional to refrain from strenuous athletic activity. The Player accepts sole responsibility for assessing their own fitness and readiness to participate.
2

Release of Liability, Waiver of Claims & Indemnification

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLAYER HEREBY IRREVOCABLY RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE GEB from any and all liability, claims, demands, actions, causes of action, judgments, damages, losses, costs, and expenses of any kind or nature whatsoever — whether known or unknown, anticipated or unanticipated, present or future — arising out of or in any way related to: (a) the Player's participation in any GEB Activity; (b) any injury, illness, disability, death, or property damage sustained by the Player before, during, or after any GEB Activity; (c) the negligence, gross negligence, carelessness, recklessness, or other fault of GEB, its staff, referees, volunteers, or other participants; (d) the condition of any facility, court, equipment, or premises used in connection with GEB Activities; or (e) any act or omission of GEB in organizing, supervising, or conducting GEB Activities. THE PLAYER UNDERSTANDS THAT THIS RELEASE INCLUDES CLAIMS ARISING FROM GEB'S OWN NEGLIGENCE. The Player further agrees to INDEMNIFY, DEFEND, AND HOLD HARMLESS GEB from and against any and all third-party claims, demands, lawsuits, damages, losses, costs, and expenses (including reasonable attorney fees and court costs) arising out of or related to: (i) the Player's participation in GEB Activities; (ii) the Player's breach of this Agreement; (iii) the Player's violation of any GEB rule, policy, or code of conduct; or (iv) any injury or damage caused by the Player to any other person or property during GEB Activities. This indemnification obligation shall survive the termination of this Agreement.
3

Medical Authorization, Health Representation & Financial Responsibility

In the event of injury, illness, or medical emergency occurring during or in connection with any GEB Activity, the Player hereby authorizes GEB staff, officials, referees, and emergency medical personnel to seek, obtain, and administer emergency medical treatment on the Player's behalf, including but not limited to first aid, CPR, AED use, and transport to a medical facility. The Player acknowledges that GEB is not a medical provider and that GEB staff are not required to have medical training beyond any applicable legal minimums. THE PLAYER ACKNOWLEDGES AND AGREES THAT GEB IS NOT RESPONSIBLE FOR AND SHALL HAVE NO LIABILITY FOR THE COST OF ANY MEDICAL TREATMENT, EMERGENCY TRANSPORT, HOSPITALIZATION, REHABILITATION, OR OTHER HEALTHCARE EXPENSES incurred as a result of or in connection with the Player's participation in GEB Activities. The Player represents and warrants that they maintain adequate health insurance coverage and accepts full and sole financial responsibility for all medical expenses arising from participation. The Player further represents that: (a) they have no known heart condition, cardiovascular disease, or other condition that would make vigorous physical activity medically inadvisable; (b) they are not currently under a physician's order to restrict physical activity; and (c) they will immediately notify GEB staff of any medical condition that develops or worsens during the season. GEB strongly recommends that all players obtain a physical examination from a licensed physician prior to participation in any GEB Activity.
4

Code of Conduct, Sportsmanship & Disciplinary Policy

The Player agrees to conduct themselves with respect, integrity, and sportsmanship at all times during GEB Activities, including on the court, in the facility, in locker rooms, in parking areas, and in all written or verbal communications related to the league. The Player agrees to: (a) abide by all GEB official rules, referee decisions, and league policies as published and amended from time to time; (b) treat all players, referees, GEB staff, facility personnel, and spectators with dignity and respect; (c) refrain from any form of fighting, physical altercation, threatening behavior, intimidation, harassment, discrimination, or hate speech; (d) refrain from excessive profanity, taunting, or conduct that degrades other participants; (e) refrain from the use of illegal substances or alcohol on or about any GEB facility; and (f) comply with all facility rules and policies. THE PLAYER UNDERSTANDS AND AGREES THAT VIOLATION OF THIS CODE OF CONDUCT MAY RESULT, AT GEB'S SOLE DISCRETION, IN IMMEDIATE EJECTION FROM A GAME, SUSPENSION FOR ONE OR MORE GAMES, OR PERMANENT EXPULSION FROM GEB WITHOUT REFUND OF ANY REGISTRATION FEES. GEB reserves the sole and absolute right to determine what constitutes a violation of this conduct standard, and the Player agrees that GEB's determination shall be final and binding. The Player further agrees that GEB shall have no liability for any disciplinary action taken in good faith pursuant to this section.
5

Personal Property & Equipment Liability

The Player acknowledges and agrees that GEB is not responsible for the loss, theft, damage, or destruction of any personal property — including but not limited to clothing, footwear, bags, electronics, jewelry, vehicles, or any other items — brought to or left at any GEB facility or event. The Player assumes all risk of loss or damage to personal property and is encouraged to leave valuables at home or secured in a locked vehicle. The Player further acknowledges that GEB does not provide or guarantee the safety or condition of any personal basketball equipment (including shoes, braces, or protective gear) brought by the Player, and that the Player is solely responsible for ensuring their own equipment is safe and appropriate for use. GEB-provided equipment, including game balls and court markings, is provided as-is, and the Player assumes all risk associated with its use. The Player agrees not to hold GEB liable for any injury caused by or related to personal equipment or GEB-provided equipment.
6

Media, Photography & Intellectual Property Release

The Player grants GEB and its authorized representatives the irrevocable, perpetual, worldwide, royalty-free right and license to photograph, film, record, livestream, and otherwise capture the Player's participation in GEB Activities, and to use the Player's name, image, likeness, voice, biographical information, and performance in connection with GEB promotional materials, social media content, website content, marketing campaigns, highlight reels, advertising, sponsorship materials, and any other media — now known or hereafter developed — without additional compensation, notice, or further consent. The Player waives any right to inspect or approve such materials prior to use and releases GEB from any claims arising from such use, including claims of invasion of privacy, right of publicity, or defamation. The Player acknowledges that GEB retains all intellectual property rights in any content created in connection with GEB Activities.
7

Facility Rules, Third-Party Venues & Force Majeure

The Player acknowledges that GEB Activities are conducted at third-party facilities and venues not owned or operated by GEB. The Player agrees to comply with all rules, regulations, and policies of any facility used for GEB Activities, including but not limited to rules regarding footwear, conduct, access, and use of amenities. The Player acknowledges that GEB does not control the condition, maintenance, or safety of third-party facilities and agrees to release GEB from any liability arising from the condition of such facilities. The Player further acknowledges that GEB Activities may be cancelled, postponed, rescheduled, or modified due to circumstances beyond GEB's reasonable control, including but not limited to facility unavailability, weather events, public health emergencies, government orders, or acts of God ("Force Majeure Events"). GEB shall have no liability to the Player for any cancellation, postponement, or modification of GEB Activities due to Force Majeure Events, and the Player agrees that GEB's sole obligation in such circumstances shall be to make reasonable efforts to reschedule affected games or provide a credit toward a future season at GEB's discretion.
8

Governing Law, Dispute Resolution & Severability

This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. ANY DISPUTE ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PLAYER'S PARTICIPATION IN GEB ACTIVITIES SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION administered by a mutually agreed-upon arbitration service, and the Player hereby waives any right to a jury trial or class action proceeding. The arbitration shall take place in the jurisdiction where GEB operates, and the arbitrator's decision shall be final and binding. Notwithstanding the foregoing, GEB may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm. If any provision of this Agreement is found by a court or arbitrator of competent jurisdiction to be unenforceable, invalid, or void, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. This Agreement constitutes the entire agreement between the Player and GEB with respect to the subject matter herein and supersedes all prior agreements, representations, warranties, or understandings, whether oral or written. No modification of this Agreement shall be effective unless made in writing and signed by an authorized representative of GEB. The Player's participation in any GEB Activity after the date of this Agreement shall constitute reaffirmation of the Player's agreement to all terms herein.
